At BVE LABS, we believe that great digital experiences are built on a foundation of trust. As a premium AI and product development studio, our mission is to craft digital experiences that push boundaries, blending artificial intelligence with human creativity. To deliver on our promise of "thoughtful innovation," we need a clear set of rules to ensure our platform remains secure, reliable, and beneficial for everyone.

Scope of Terms

These Terms apply to all websites, mobile applications, and services owned and operated by BVE Labs LLC, including but not limited to ShiftFill AI, TeacherFill, TaxParse, EV Estimate, Secodai, Project Gosling, and Solvu.

Please read these Terms of Service ("Terms") carefully.

By accessing our website, using our software platform, or engaging with our AI services (collectively, the "Services"), you are entering into a binding legal agreement with BVE LABS, LLC. If you do not agree with these Terms, you may not use our Services.

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. About Our Service

What We Provide

BVE LABS, LLC provides a SaaS platform and development studio services designed to accelerate product creation through artificial intelligence. We provide the tools, infrastructure, and interfaces necessary to help you build, deploy, and manage digital products.

Eligibility

To use our Services, you must be at least 18 years old and capable of forming a binding contract. Our Services are intended for business and professional use. By registering, you confirm that you are not barred from using our Services under the laws of the United States, the European Union, or other applicable jurisdictions.

Service Availability

We are committed to reliability, but we want to be honest about the realities of software. While we strive for 99.9% uptime, we cannot guarantee that our Services will be available at all times without interruption. Maintenance, updates, and unforeseen technical issues (or "gremlins in the machine") may occasionally cause downtime. We will always try to notify you in advance of scheduled maintenance.

3. Your Account

Registration & Security

To access the full power of BVE LABS, you will need to create an account. You agree to provide accurate, current, and complete information during the registration process.

You are the guardian of your login credentials. You are responsible for all activities that occur under your account. If you suspect someone has accessed your account without permission, please notify us immediately at legal@bvelabs.com.

Account Sharing

Unless you are on a specific enterprise plan that allows for multi-seat access, your account is personal to you. Please do not share your login credentials with others. If your team needs access, we are happy to discuss team-based licensing options.

Termination by You

You are free to stop using our Services at any time. If you wish to delete your account, you may do so through your account settings or by contacting our support team.

4. Acceptable Use

We want BVE LABS to be a space for innovation, not abuse. To keep the platform running smoothly, we have established clear boundaries.

You agree not to:

  • Reverse Engineer: Attempt to decompile, reverse engineer, or copy the source code or underlying algorithms of our AI models.
  • Harm the Platform: Introduce viruses, malware, or overload our servers (DDoS attacks).
  • Scrape Data: Use automated bots or scrapers to access or extract data from our Services without our permission.
  • Illegal Activity: Use our Services to generate content that is illegal, defamatory, harassing, or promotes violence.
  • Misrepresent: Impersonate others or misrepresent the source of content generated by our platform.

Consequences of Violation

If we determine that you have violated these rules, we reserve the right to suspend or terminate your access immediately. In severe cases involving illegal activity, we may be required to report the behavior to law enforcement authorities.

5. Content & Intellectual Property

Our Intellectual Property

BVE LABS, LLC retains all rights, title, and interest in and to the Services, including our brand, logo, code, AI models, and proprietary technology. These Terms do not grant you any rights to use our trademarks or brand assets without our prior written permission.

Your Content & Data

We respect your ownership. You retain all rights to the data, text, and files you upload to the Service ("User Content").

License to Us

To provide our Services to you, we need permission to process your data. You grant BVE LABS, LLC a worldwide, non-exclusive, royalty-free license to host, copy, and process your User Content solely for the purpose of providing, maintaining, and improving our Services. We do not sell your data to third parties.

AI-Generated Output

Given the nature of our AI studio, the ownership of AI-generated output is a partnership. Subject to your compliance with these Terms and payment of applicable fees, BVE LABS assigns to you all rights, title, and interest in the specific output generated by the Services based on your inputs.

6. Payments & Billing

Pricing & Subscriptions

Some aspects of our Services may require a fee. Pricing terms are clearly presented at the point of purchase. If you sign up for a subscription, you agree that your subscription will automatically renew at the end of each billing cycle unless you cancel it.

Billing Changes

We may update our pricing to reflect new features or market changes. If we change our prices, we will notify you at least 30 days in advance. Continued use of the Service after the price change goes into effect constitutes your agreement to pay the new amount.

Refunds

We generally do not offer refunds for partial subscription periods. However, if you believe there has been a billing error or if our Service was unavailable for an extended period due to our fault, please contact us. We review refund requests on a case-by-case basis because we want to be fair.

7. Privacy

Your privacy is critical to our mission of trust. Our data handling practices are detailed in our Privacy Policy.

By using our Services, you acknowledge that you have read our Privacy Policy and understand how we collect, store, and use your data. We process data in compliance with major global frameworks, including GDPR and CCPA/CPRA.

8. SMS/Mobile Messaging Terms (For ShiftFill AI & Products)

By providing your phone number, you consent to receive text messages from BVE Labs LLC and its products (e.g., ShiftFill AI).

  • Opt-Out: You can cancel the SMS service at any time. Just text "STOP" to the short code or long code. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed.
  • Help: If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance.
  • Rates: Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies.

10. Disclaimers & Limitations

"As Is" Service

We provide our Services "as is" and "as available." While we are proud of our technology, we expressly disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI Limitations

Important: Artificial Intelligence is a rapidly evolving field. BVE LABS, LLC does not guarantee that AI-generated output will be perfectly accurate, unique, or error-free. You should not rely on our AI services for professional legal, medical, or financial advice without human verification. You are responsible for reviewing and verifying any output before using it.

Limitation of Liability

To the fullest extent permitted by law, BVE LABS, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Dispute Resolution

We prefer to resolve issues through conversation, not litigation.

Informal Resolution

If you have a concern, you agree to first contact us at legal@bvelabs.com and attempt to resolve the dispute informally. We will dedicate reasonable efforts to settling the matter fairly and quickly.

Arbitration

If we cannot resolve the dispute informally, any claim or dispute shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver

To the extent permitted by applicable law, you and BVE LABS, LLC agree that each may bring claims against the other only in your or our individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. Changes & Termination

Changes to Terms

We may modify these Terms from time to time to reflect changes in the law or our business. If we make material changes, we will notify you via email or a prominent notice on our platform. Your continued use of the Services after the changes become effective means you accept the new Terms.

Termination

We reserve the right to suspend or terminate your access to the Services if you violate these Terms or if we are required to do so by law. We will generally try to provide notice before termination, but we may act immediately if your conduct threatens the security or integrity of our platform.

13. General Legal

  • Governing Law: These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full effect.
  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and BVE LABS, LLC regarding the Services.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to any affiliate or in connection with a merger or acquisition.
